1. Agreement
By accessing or signing in to SignalScout at https://scout.nuits.net (the “Service”), you agree to these Terms and the Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
SignalScout is a B2B research tool that:
- Researches public-web trigger signals for leads you provide and drafts personalized outreach copy (“personalize”).
- Builds structured competitor battlecards from public sources (“battlecard”).
- Offers a limited free sample without an account.
You bring your own lead lists. We research the public web for the “why.” We do not scrape, sell, or resell contact databases.
The Service is powered by AI systems. When you use SignalScout you are interacting with an AI system; generated signals, emails, and battlecards are AI-generated content (EU AI Act Article 50 transparency).
3. Accounts
Access is via magic-link email authentication. You are responsible for activity under your account and for keeping access to your email secure. You may log out, export your data, or delete your account from the app (or by emailing support).
4. Credits, pricing, and payments
- Usage is metered in credits: 1 lead = 1 credit; 1 competitor = 1 credit (successful research units only; failed units are not charged).
- Credits are prepaid, do not expire monthly, and do not auto-renew as a subscription unless we later offer one and you opt in.
- Checkout is provided by Polar as Merchant of Record. Polar handles payment processing, applicable sales tax/VAT/GST, and customer receipts for the sale.
- Prices shown on the site are in USD unless stated otherwise; tax may be added by Polar at checkout based on your location.
5. Refunds
- Unused credits are generally non-refundable once purchased (digital prepaid balance).
- If a payment succeeded but credits were not granted due to a technical failure on our side, contact support — we will grant the credits or arrange a refund via Polar.
- Double-grants from webhook retries do not occur by design (idempotent ledger). If you believe you were charged twice by Polar, contact support with the order id.
- Chargebacks abuse may result in account termination.
6. AI outputs — no warranties
Research signals, source links, confidence scores, emails, and battlecards may be incomplete, outdated, or wrong. You must verify sources and facts before relying on them or contacting anyone. We do not guarantee deliverability, reply rates, sales outcomes, legal compliance of copy, or fitness for a particular purpose.
Outputs are provided “as is.” To the maximum extent permitted by law, we disclaim warranties of merchantability, non-infringement, and accuracy of AI-generated content.
7. Acceptable use & compliance burden on you
You are solely responsible for how you use outputs, including any emails or messages you send. SignalScout does not send outreach on your behalf.
You agree you will:
- Comply with all applicable laws for commercial email and messaging (including US CAN-SPAM, Canada’s CASL, and EU/UK ePrivacy/GDPR where applicable), including required identification, physical address, and opt-out mechanisms when you send commercial email.
- Have a lawful basis to process any personal data in lead lists you upload (especially EU/UK data subjects).
- Not use the Service to harass, discriminate, defraud, phish, or violate others’ rights.
- Not attempt to bypass metering, abuse the free tool, reverse engineer the Service beyond lawful interoperability, or overload our systems.
- Not upload unlawful content or lists obtained through unauthorized scraping in violation of law or third-party terms.
We may suspend or terminate accounts that violate these Terms.
8. Intellectual property
We own the Service software, branding, and documentation. You retain ownership of your inputs. Subject to these Terms, you may use generated outputs for your business purposes. You grant us a limited license to process your inputs solely to provide the Service.
9. Subprocessors
Infrastructure and research providers include Cloudflare, Polar, Resend, OpenRouter (and model providers it routes to), Exa, Firecrawl, and optionally Sentry. See the Privacy Policy for detail.
10. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of the Service is limited to the greater of (a) amounts you paid for credits in the 3 months before the claim or (b) USD $50. We are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for outcomes of outreach you send.
11. Indemnity
You will defend and indemnify us against claims arising from your lead lists, your outreach, your violation of law, or your misuse of outputs.
12. Service availability
We aim for high availability but do not guarantee uptime. If model or research providers are down, runs may fail; credits are not charged for units that were not successfully researched.
Parts of the runtime stack (including Flue) may be pre-1.0; we pin versions and may change features with notice where practical.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate for breach, abuse, or legal risk. Upon deletion we erase account data as described in the Privacy Policy; Polar may retain payment records as MoR.
14. Governing law
These Terms are governed by the laws of the jurisdiction of the operator’s principal place of business, excluding conflict-of-law rules. Courts there have exclusive jurisdiction, except where consumer protection law requires otherwise. Update this clause when the legal entity is registered.
15. Changes
We may update these Terms. Continued use after the “Last updated” date constitutes acceptance of material changes we notify in-product or by email where required.
